WGC-4 COMPLETES FORMATION OF ITS TARGET STRUCTURE
The formation of the target structure of Generation Company Four of the Wholesale Market of Power and Energy (WGC-4) was completed on July 1, 2006. An entry was made in the Uniform State Register of Juridical Persons (USRJP) regarding terminating the activity as separate legal entities of the five joint stock companies to be taken over by WGC-4. According to this document, BTPP-1, Smolenskaya TPP, Surgutskaya TPP-2, Shaturskaya TPP-5, т Yaivinskaya TPP are excluded from the USRJP. From July 1, these companies obtained the status of WGC-4 subsidiaries.
Today, the Inspectorate of the Federal Taxation Service of the Russian Federation for the City of Surgut, Khanty-Mansijsk Autonomous District, granted the Company Management a certificate regarding terminating the TPPs' activity as corporate entities through their reorganization in terms of their takeover by WGC-4. The event was attended by acting Head of FTS for Surgut, KMAD, Lyudmila Kryuchina and Deputy Director General for Corporate Policy of WGC-4 Sergey Zhizhoma.
On July 1, 2006, the Company's restated Articles of Association were also registered with regard to the assignment of all rights and obligations of AO-Power Plants that were managed by WGC-4. Accordingly, WGC-4 is now no longer a management company but a united production company.
In addition, a transfer of WGC-4 to a single share was carried out on July 1, 2006. On that day, the shares in TPPs to be taken over were converted into WGC-4 shares. As a result, the shareholding of RAO UES of Russia in the authorized capital of WGC-4 reached 89.6%, and 10.4% for minority shareholders.
