Annual General Shareholders Meeting of E.ON Russia JSC

The annual General Shareholders Meeting of E.ON Russia JSC was held on June 27, 2013 in Moscow.

 

The Shareholders Meeting approved the annual report, annual financial statements, including income statements of the Company and distribution of the profit and loss of the Company as of 2012.

 

Considering the recommendations of the Board of Directors, the Shareholders Meeting approved the net profit to be distributed as follows:

 

The dividend payout was approved to the amount of 0,289541278733806 rubles per one common share.

The annual Shareholders Meeting of E.ON Russia JSC elected the Company Board of Directors of 9 persons with the composition as follows (the job positions are specified as from the date of candidate nomination for the Board of Directors):

1.    Mike Winkel, CEO of E.ON, Climate and Renewables;

2.    Sergey Guriev, Rector of Russian School of Economics;

3.    Jorgen Kildahl, Member of the Management of E.ON SE;

4.    Sergey Malinov, Chairman of Board of Directors of Thermal Power Instrumentation Research Institute JSC

5.    Albert Bernhard Wilhelm Reutersberg, Member of the Management of E.ON SE;

6.    G?nter Eckhardt R?mmler, Senior Vice President, Strategy and Corporate Development of E.ON SE;

7.    Karl-Heinz Feldmann, Senior Vice President, Legal and Compliance of E.ON SE;

8.    Reiner Hartmann, Head of Representative Office E.ON Ruhrgas AG in Moscow;

9.    Maxim Shirokov, CEO of E.ON Russia JSC.

New composition of the Audit Committee was approved as follows (the job positions are specified as from the date of candidate nomination):

 

1.    Alexey Asyaev, Head of Internal Audit Department, E.ON Russia JSC

2.    Michael Winfried Christian Wilhelm, Senior Vice President for Accounting of E.ON SE;

3.    Dr. Thomas Fecker, Vice President, Corporate Audit of E.ON SE;

4.    Mikhail Rabkin, Chief Specialist, Internal Audit Department of E.ON Russia JSC

 

PriceWaterHous Coopers Audit, JSC was approved as the Company Auditor for 2013.
